Terms of Service

Please read these terms carefully before using the SharkIn platform.
1. Acceptance of Terms
By accessing or using the Platform, you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. These terms apply to all users — sellers (Companies), investors, and visitors.
2. Profile Creation and Eligibility
You must be at least 18 years of age and legally capable of entering into binding contracts. Companies must create a Company Profile to list a business, providing accurate details and keeping them up to date. Investors must create an Investor Profile and complete KYC verification before accessing data rooms. You are solely responsible for maintaining the confidentiality of your login credentials and all activities under your account.
3. Platform Role and Services
The Platform is a marketplace facilitator. We do not buy, sell, or own any listed business. We provide infrastructure for discovery, verification, negotiation, and escrow, connecting Companies to potential Investors. All transactions are directly between buyers and sellers.
4. Company / Seller Responsibilities
Sellers must provide complete, accurate, and up-to-date business metrics, financials, and details ("Business Information"). Misrepresentation of revenue, churn, user counts, or other financials is grounds for immediate delisting and legal action. The Company is solely responsible for ensuring compliance with applicable laws. Disclosure of Business Information is controlled by the Company and shared only with approved Investors.
5. Investor's Confidentiality Obligations
As an investor, you will be exposed to confidential information pertaining to listed companies, including business plans, financial data, and strategies ("Confidential Information"). You agree to use this information solely for evaluating a potential transaction and not to disclose it to any third party other than your representatives on a strict need-to-know basis. You must treat any Personal Data accessed through the Platform with strict confidentiality. This obligation survives termination and supplements any mutual NDAs.
6. Non-Circumvention
Both Companies and Investors irrevocably agree not to circumvent, avoid, bypass, or obviate the intent of these Terms. You shall not attempt, directly or indirectly, to contact, negotiate, deal with, or enter into any agreement with a counterparty discovered through the Platform outside of the Platform, except with our explicit written consent.
7. Payments and Escrow
Escrow services may be provided through third-party partners (e.g., RazorpayX) where funds are held until handover conditions are met. The Platform reserves the right to charge success fees upon a successful deal close or introduction fees, as communicated at the time of listing. We do not hold funds directly and are not liable for disputes arising from payment processor actions.
8. Intellectual Property
All rights to the Platform belong to us. Companies grant the Platform a licence to display and use Company Information to provide the Services. Investors are responsible for materials they submit. The Platform makes no claim to ownership of your business data or IP.
9. Prohibited Conduct
Users may not: scrape or extract listing data; create fake accounts; engage in market manipulation; infringe proprietary rights; transmit viruses; or use the platform for any unlawful, fraudulent, or malicious activities.
10. Disclaimers and Limitation of Liability
The Platform is provided "as is". We perform no technical, legal, or financial due diligence on Companies or Investors. Any valuations are for informational purposes. We are not liable for any indirect, incidental, or consequential damages, including failed deals or inaccurate third-party data. Our maximum aggregate monetary liability shall not exceed INR 10,000.
11. Indemnity
You shall indemnify, defend, and hold harmless the Platform, its affiliates, and their officers from any claims, damages, or costs arising out of your access to the Services, violation of these Terms, or any fraud or misconduct on your part.
12. Governing Law
These terms are governed by the laws of India. Any disputes shall be resolved by arbitration in Mumbai in accordance with the Arbitration and Conciliation Act, 1996, and subject to the exclusive jurisdiction of courts in Mumbai.
